We reserve the right to update, modify, or discontinue any service offering at any time without prior notice.

3. Billing & Payment Terms

3.1 Recurring Charges

By signing up for any subscription-based service, you authorize Adanax Digital to charge your provided payment method automatically on a recurring basis (monthly, quarterly, or annually) per your agreement.

3.2 Late Payments

Invoices not paid within 5 days of the due date are subject to a late fee of 5% per month. If payment is not received within 15 days, services may be suspended until payment is made.

3.3 Chargebacks & Disputes

You agree not to initiate chargebacks without first attempting to resolve the issue directly with Adanax. Any chargeback filed without documented good-faith communication may result in immediate service suspension and legal recourse.

4. Refund & Cancellation Policy

4.1 Refunds

Due to the custom nature of our services, all payments are final and non-refundable once service has been rendered or work has commenced.

4.2 Cancellation

To cancel a service, written notice must be sent 30 days before your next billing cycle. You will remain responsible for any outstanding payments or work completed up to the cancellation date.

5. Contract Terms

Unless otherwise specified in a signed agreement, our standard service term is 12 months, with automatic renewal unless terminated in writing 30 days prior to contract end. All contracts are legally binding.

6. Client Responsibilities

You agree to:

  • Provide access to necessary platforms (e.g., Google, Facebook, website, CRM)
  • Cooperate in providing content, approvals, and feedback
  • Maintain accurate billing and contact information

Delays in client cooperation may result in timeline shifts or additional fees.

7. Intellectual Property

All content, copy, funnels, designs, campaigns, and strategies created by Adanax remain intellectual property of Adanax Digital unless otherwise agreed in writing. Reproduction or unauthorized distribution is strictly prohibited.

8. Performance Disclaimer

While we aim to deliver measurable results, Adanax does not guarantee specific outcomes, revenue, or rankings. Marketing results vary due to industry, audience, and algorithm changes.

9. Limitation of Liability

Adanax Digital will not be held liable for:

  • Any loss of revenue, data, or goodwill
  • Platform shutdowns or ad rejections by third-party networks (Facebook, Google, etc.)
  • Delays caused by third parties or force majeure events

Liability is limited to the total amount paid to Adanax Digital in the past 60 days.

10. Termination of Services

We reserve the right to terminate any client relationship for abuse, non-payment, or breach of these terms, without refund.

11. Governing Law

These Terms shall be governed by the laws of the State of Florida, and any disputes shall be handled in Orange County, FL. Arbitration may be used to resolve legal issues, per a mutually signed clause.

12. Updates to These Terms

We may revise these Terms at any time. Continued use of our services after changes constitutes acceptance. The most current version will always be available on our website.
